These Terms of Service (“Terms”) govern your access to and use of 13Hfiling.com (the “Site”), its content, and all associated services, including SEC Form 13H filing packages (collectively, the “Services”). The Site and Services are provided by Sutter Law P.C. (“Firm,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms, our Privacy Policy, and our Click-Through Engagement Agreement (if you purchase a filing package). If you do not agree, do not use the Site.
1. No Attorney–Client Relationship Formed by Site Use
Your use of the Site does not create an attorney–client relationship. A relationship forms only after: (1) you purchase a filing package, (2) you accept the Click-Through Engagement Agreement, and (3) we complete a conflict check and notify you that representation has begun. Until then, no legal advice is provided.
2. Legal Services Governed by Engagement Agreement
All Form 13H filing services are governed exclusively by the Click-Through Engagement Agreement, which is incorporated into these Terms by reference.
3. Privacy Policy & Cookies
Your use of the Site is governed by our Privacy Policy. We use cookies for authentication, analytics, and security.
4. Eligibility & Age Requirements
You must be 18 years or older and legally capable of entering contracts to use this Site.
5. User Account & Security
You are responsible for maintaining accurate information and securing your login credentials. Notify us immediately of any unauthorized use or suspected breach.
6. Payments, Billing & Refunds
All fees must be paid in advance. Once services are rendered, fees are non-refundable. Filing chargebacks without contacting us first may result in suspension of services, file closure, and account termination.
7. Permitted & Prohibited Uses
You may use the Site for lawful business purposes. You may not:
- scrape, crawl, or harvest data;
- hack, reverse engineer, or disrupt the Site;
- attempt unauthorized account access;
- upload viruses or malicious code;
- impersonate others;
- interfere with or disable Site security features.
8. Intellectual Property Rights
All Site content—including text, graphics, designs, software, and educational materials—is owned by or licensed to Sutter Law P.C. You may not reproduce, modify, or distribute any content without written consent.

12.1 Third-Party Systems & EDGAR
The Site may link to or integrate with third-party systems such as the SEC’s EDGAR platform, payment processors, authentication services, and communication tools. We are not responsible for downtime, outages, system errors, data loss, or delays caused by third-party platforms.
12.2 OneNotary.com Notarization Services
Certain SEC filings require notarization. Users may be directed to OneNotary.com, an independent online notary platform. You understand and agree that:
- OneNotary.com is not owned, controlled, operated, or affiliated with Sutter Law P.C.;
- OneNotary.com maintains its own Terms of Service and Privacy Policy, which govern your use of its platform;
- Your interaction with OneNotary.com is solely between you and that service provider;
- We are not liable for any delays, identification issues, technical glitches, scheduling problems, or data-handling practices of OneNotary.com;
- You may use any licensed notary of your choosing.
13. Electronic Communications & E-Signatures
You consent to receive all notices electronically and agree that electronic signatures and agreements have the same legal effect as physical signatures under applicable law.
14. Data Security; No Guarantee
We use industry-standard security measures. However, no system is 100% secure. By using the Site, you accept the inherent risks of online communication and agree to notify us immediately of any suspected unauthorized access.
15. Data Retention & File Closing
We retain legal files for the period required by California law and may destroy them thereafter unless you request earlier delivery.

17. Disclaimer of Warranties

To the maximum extent permitted by law, Sutter Law P.C. is not liable for:

- lost profits or trading losses;
- delays in filing with the SEC;
- reliance on Site content;
- issues caused by third-party systems (including EDGAR and OneNotary.com);
- data breaches not caused by our negligence.
Our total liability for any claim arising from Site use shall not exceed the amount paid for the applicable service.
19. Export Control Compliance
You may not use the Site in violation of U.S. export control laws or OFAC sanctions.
20. Compliance With Laws
You must comply with all applicable laws, including securities laws, anti-money laundering statutes, and privacy regulations.
21. Arbitration Agreement
Disputes relating solely to Site use shall be resolved through binding arbitration administered by JAMS in Contra Costa County, California. Disputes arising from legal services are subject to the arbitration clause in the Click-Through Engagement Agreement.
22. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
23. Termination
We may suspend or terminate your access to the Site or Services for any violation of these Terms or applicable law.
24. Changes to These Terms
We may modify these Terms at any time. The updated version will be posted with a new “Last Updated” date. Continued use of the Site signifies acceptance of the updated Terms.
25. Professional Responsibility & Jurisdiction Notice
Sutter Law P.C. is licensed in California. Nothing on the Site constitutes attorney advertising where restricted. Past results do not guarantee future outcomes. Representation outside California may require association with local counsel.
26. Severability
If any provision is held invalid or unenforceable, the remainder remains in full force and effect.
27. Entire Agreement
These Terms, the Privacy Policy, and (if applicable) the Click-Through Engagement Agreement constitute the entire agreement governing Site use.
